Welcome to Billy, an accounting and financial management platform operated by Everlo, MB ("Billy," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of Billy's services, including our mobile and web applications, website, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services. By using Billy, you represent and warrant that you meet these requirements.

3. Account Registration and Security

Billy integrates with third-party services such as banks, payment processors (including Stripe and PayPal), and other financial platforms. Your use of these integrations is subject to the third parties' terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Billy is a financial management tool and does not provide legal, tax, or accounting advice. You should consult with appropriate professionals regarding your specific circumstances.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERLO, MB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Everlo, MB and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

13. Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion, with or without notice.

Upon termination, your right to use the Services will immediately cease. We will provide you with a reasonable opportunity to export your data.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Lithuania, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the courts of Vilnius, Lithuania.

16. General Provisions

These Terms constitute the entire agreement between you and Everlo, MB regarding the Services. If any provision is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision shall not constitute a waiver.
